– cyber_Folks is today a better-known brand in the customer market than R22, while R22 has stronger recognition among investors. Our goal is to simplify the Group structure and create a comprehensive entity — attractive to both customers and investors. In Management’s view, combining these two strong brands into a single company will broaden our audience and raise our visibility on the capital market. Many activities conducted under the cyber_Folks brand — which already has 250,000 customers — do not translate into R22’s perception. We want to change that, said Jakub Dwernicki, CEO of R22.
For investors and shareholders, the process will primarily involve changing the company’s name from R22 to cyber_Folks. The number of shares and all rights attached to them will remain unchanged.
– The merger is intended to increase transparency and simplify external communications with all stakeholders — especially customers and investors. All marketing and PR activities will be focused on one brand, not two. Concentrating both companies’ budgets on a single brand will yield significantly better results, as confirmed by our experience in consolidating brands within the cyber_Folks portfolio, said Jakub Dwernicki. Our strategy is built around two core segments — cyber_Folks and Vercom — and we do not want other brands to dilute that focus, he added.
At the upcoming AGM, shareholders will also vote on a dividend distribution. The Management Board proposes paying out the full standalone net profit for 2022 (PLN 6.7m) plus PLN 6.49m from the statutory reserve — amounting to a record dividend of PLN 0.93 per share.
R22 has consistently shared profits with shareholders since its IPO. Last year the company paid out over PLN 10m in dividends. The dividend policy provides for a minimum of 30% of consolidated net profit attributable to the parent’s shareholders — which amounted to PLN 24m in 2022.
