Rerum classThe shareholders of cyber_Folks and Shoper were unanimous in approving the merger of the two companies, opening the way to building one of the largest technology ecosystems for e-commerce in Europe. The decision begins a new stage of the Group’s development, which will accelerate the delivery of its strategy, increase its scale of operations and strengthen its potential for product development, investment in artificial intelligence and expansion into European markets.

This is only the beginning of the next stage of cyber_Folks’ development – says Jakub Dwernicki, President of the Management Board of cyber_Folks and Shoper.
The merger will be carried out by transferring all of Shoper’s assets to cyber_Folks. In exchange, Shoper’s shareholders will receive 3,215,165 newly issued ordinary series F shares of cyber_Folks.
The simplified organisational structure will make it possible to develop joint products and technologies faster and to make more efficient use of the competencies of both teams. The greater scale of operations will also increase the company’s appeal to international investors thanks to higher share liquidity, a larger free float and an even stronger position on the European technology market.
Since the acquisition of Shoper, the teams of both companies have consistently been developing joint products, integrating technological competencies and implementing solutions that use artificial intelligence. The formal merger will accelerate the development of the entire ecosystem of services and enable the Group to deliver innovations supporting entrepreneurs selling online even faster.

The combined organisation will develop one of the largest technology ecosystems for e-commerce in Europe, comprising sales platforms, payments, logistics, communication, automation, AI solutions and open-source technologies supporting entrepreneurs at every stage of online selling. The Group’s solutions are already used by more than 700,000 customers.
The shareholders’ decision opens the next chapter in the development of cyber_Folks as a European leader in technology for e-commerce.
