Learn morecyber_Folks and Shoper intend to join forces, reinforcing their position as the leader in e-commerce technology in Central and Eastern Europe. The integration is primarily intended to enable full focus on building an e-commerce leader and maximising the potential for growth and international competition. Additionally, the merger will simplify the Group’s structure, increase the scale of operations, and improve investment attractiveness — both for existing shareholders and international funds. The merger decision will be made by shareholders of both companies at their upcoming General Meetings.
The objective of the process is to build a single, strong entity focused primarily on e-commerce and to continue growing the scale of operations in the European market. The combined organisation will develop one of the most comprehensive technology ecosystems for e-commerce in Europe — encompassing sales platforms, payments, logistics, communications, automation, and AI-powered solutions supporting merchants in managing the entire online sales process.
– Listening to the voice of our investors, we have decided to merge Shoper and cyber_Folks. We are simplifying the Group’s structure, which — particularly from the perspective of international investors — has at times been overly complex. A larger entity will emerge, with higher market capitalisation, a larger free float, and significantly higher share liquidity, which should increase the interest of global technology funds and institutional investors. We are responding to market expectations and building one strong entity focused on e-commerce. I am convinced that the synergy of skills, technology, and scale of both organisations will allow us to build the European e-commerce technology leader even faster and to compete more effectively in the international market, said Jakub Dwernicki, CEO of cyber_Folks and Shoper.
The merger is expected to benefit both customers and shareholders. The Group expects the simplified structure to increase operational efficiency, accelerate product development, improve management processes, and reduce administrative and shared costs. The larger scale of operations will also increase financial flexibility and the capacity to further consolidate the e-commerce market in Europe.
cyber_Folks has experience in effective integration and simplification of the Group’s structure. The earlier merger of R22 and cyber_Folks allowed the organisation to concentrate its development around one strong brand and improve the effectiveness of communications with the market and investors.

Together, we will be able to develop products faster, respond more effectively to merchants’ needs, and build competitive advantages in an increasingly demanding e-commerce market. The integration of skills and technology of both organisations creates value far greater than the sum of the individual companies, said Robert Stasik, co-founder and Deputy CEO of cyber_Folks and Shoper.
Based on the assumptions presented, the combined entity’s market capitalisation would be approximately USD 1bn, which could significantly increase the company’s attractiveness to international institutional investors and global technology funds.
Alongside the integration process, the Group also plans to implement a new long-term incentive programme for key managers and the Management Board, based on ambitious operational and financial targets related to the continued development of the e-commerce and cyber_Folks segments. The programme is designed to support long-term Group value growth and more strongly align managers’ interests with those of shareholders.
The merger represents the next step in the execution of cyber_Folks’ strategy to build the European leader in e-commerce technology and to integrate services that together form a modern operating system for online commerce.
