cyber_Folks Raises Over PLN 500m from Sale of Vercom Shares

cyber_Folks has raised over PLN 500m through the sale of 4,340,405 Vercom shares in an accelerated bookbuild (ABB). After the transaction, cyber_Folks remains Vercom’s largest shareholder with a 30% stake. Wood & Company, mBank, and Dom Maklerski Pekao acted as joint bookrunners.

cyber_Folks has raised over PLN 500m through the sale of 4,340,405 Vercom shares in an accelerated bookbuilding process. The transaction is part of the Group’s long-term strategy to build Europe’s largest e-commerce technology ecosystem and to increase the capacity for further acquisitions in the European market. Following completion, cyber_Folks remains Vercom’s largest shareholder, holding 6,668,164 shares representing 30% of the share capital and voting rights. Wood & Company, mBank, and Dom Maklerski Pekao acted as joint bookrunners.

– Vercom is today a mature, independent, and very well-managed organisation that consistently executes its strategy and builds shareholder value. We remain the largest shareholder and take a long-term view of this investment. Following the transaction, we will retain our status as strategic investor and maintain significant influence over the company’s corporate governance. We believe in Vercom’s further growth potential, the competence of its management team, and its business model. The transaction is purely capital in nature and does not change Vercom’s strategic role within the cyber_Folks ecosystem, nor our conviction regarding the company’s continued development, said Robert Stasik, Deputy CEO of cyber_Folks.

Following completion of the transaction, cyber_Folks will retain the right to appoint two members of Vercom’s Supervisory Board and will continue to actively support the company’s further development. The transaction does not affect Vercom’s current operations or the execution of its development strategy. cyber_Folks Group will remain Vercom’s largest shareholder and will continue to consolidate Vercom’s results in its consolidated financial statements.

We are entering into a two-year lock-up and will continue to actively support the company’s development as its strategic investor. Today’s transaction increases our capacity to execute our strategy of building Europe’s leading e-commerce technology group. Our strategy targets EUR 100bn GMV by 2031 — meaning the value of sales generated by merchants using our ecosystem’s technology. At an average monetisation rate of approximately 1%, that would represent potential revenues of approximately EUR 1bn. Achieving this scale requires both further organic growth and the consistent execution of our acquisition strategy, said Jakub Dwernicki, CEO of cyber_Folks.

The capital raised increases the Group’s financial flexibility and strengthens its investment capacity for further consolidation of the European e-commerce technology market.

– The SPO we conducted in the second half of last year, which raised PLN 200m, gave us greater flexibility and execution capability in M&A processes — and this translated directly into the ability to acquire PrestaShop. Today’s transaction gives us even greater comfort and allows us to participate dynamically in further market consolidation. We are particularly pleased that such a large block of shares was successfully placed with investors at a price corresponding to Vercom’s average share price over the past three months. The market has once again demonstrated its tremendous trust in cyber_Folks Group and confirmed the high quality of the assets we build and develop. We are currently evaluating several potential acquisition projects, including a transaction that could be the largest investment in the Group’s history. We have successfully integrated all companies we have acquired to date, building shareholder value and increasing the scale of our operations. We believe that further acquisitions can play an equally important role in cyber_Folks’ continued development, added Jakub Dwernicki.
