cyber_Folks has completed its merger with Shoper. The two companies now operate as a single entity, which simplifies the Group’s structure and strengthens its ability to invest in technology and international expansion. The merger also simplifies the structure from the investors’ perspective, responding to their expectations of greater transparency and clarity of the business. At the current cyber_Folks share price, the market capitalisation of the combined entity is close to USD 1 billion. Shoper remains one of the Group’s key product brands.

The merger was effected by transferring all of the assets of Shoper S.A. to cyber_Folks S.A. In connection with the transaction, cyber_Folks will issue 3,215,165 series F ordinary bearer shares, which will be allotted to Shoper’s existing shareholders. The new shares are expected to be introduced to trading on the Warsaw Stock Exchange (WSE) on 15 September 2026.

The completion of the transaction closes the formal stage of integrating the two organisations, which began when cyber_Folks became a shareholder in Shoper in early 2025. As of 1 September, the companies operate as a single entity, which allows for the full integration of teams, technologies and product development.

“We are now a single entity with greater scale and a simpler structure, able to invest even more in technology. Shoper brings a strong product and e-commerce expertise, and our goal is to leverage them across the entire cyber_Folks ecosystem and to compete ever more effectively in the European market. At the same time, we are simplifying the cyber_Folks investment story – we are becoming a single, larger and more transparent company, easier to analyse, including for international investors,” says Jakub Dwernicki, CEO of cyber_Folks.

One of the immediate effects of the merger is a simpler ownership and organisational structure of the Group. It is intended to streamline decision-making, the flow of information and technology, and cooperation between teams. Direct savings resulting from lower shared and administrative costs related to the merger are estimated at more than PLN 1 million per year.

However, cyber_Folks sees far greater potential in technological and product synergies. Operating within a single organisation is expected to make it easier to leverage shared technologies and expertise, and to increase the scale of investment in product development, automation and artificial intelligence-based solutions.

The merger also increases the scale of cyber_Folks as a public company. At the current share price, the market capitalisation of the combined entity is close to USD 1 billion. Greater scale and free float should help to improve share liquidity and give the Group more flexibility in raising equity and debt financing for further growth.

The merger also simplifies the Group’s structure from the capital markets’ perspective. Investors gain exposure to a single, larger and more transparent business, which makes it easier to analyse and value. At the same time, a clearer structure, a larger market capitalisation and a growing free float may make cyber_Folks more attractive to foreign institutional investors.

The legal merger does not mean abandoning the Shoper brand. Shoper remains one of the Group’s key product brands and will continue to be developed as a platform for entrepreneurs running and scaling online sales.

As a result of the merger, Shoper will be able to make greater use of the technology, infrastructure and expertise available across the cyber_Folks ecosystem. This includes, among other things, artificial intelligence, analytics, automation and solutions that help merchants scale their sales and enter new markets.

cyber_Folks’ strategic goal is to build a European leader in e-commerce technology. The Group is developing an ecosystem of solutions that support entrepreneurs at every stage of running an online business – from storefront technology and infrastructure to tools for sales, automation and customer communication.

Artificial intelligence will be one of the key areas of synergy following the merger. cyber_Folks is developing AI solutions across the Group’s key products, using them both to automate processes and to create new tools that help customers run their online businesses.

The integration with Shoper is expected to accelerate the flow of technology between products, increase their scalability in new markets and shorten the time needed to roll out new solutions for customers.
