Admission and conditional listing of the Company’s Series F ordinary bearer shares for trading on the main market of the Warsaw Stock Exchange

The Management Board of cyber_Folks S.A., with its registered office in Poznań [“the Company”], with reference to Current Report No. 29/2026 dated September 4, 2026, hereby announces that it was informed today that the Management Board of the Warsaw Stock Exchange S.A. [“WSE”] on September 10, 2026, Resolution No. 1292/2026 regarding the admission and listing for trading on the WSE’s main market of the Company’s Series F ordinary bearer shares [“Resolution”].

Pursuant to the Resolution, the Management Board of the WSE resolved: [i] to approve the admission to trading on the main market operated by the WSE of 3,215,165 Series F ordinary bearer shares of the Company [“Shares”] and [ii] to introduce the Shares to trading on that market as of September 15, 2026, provided that the National Depository for Securities S.A. [“KDPW”] registers the Shares and assigns them the ISIN code PLR220000018 on the aforementioned date.

At the same time, the Company’s Management Board announces that on September 10, 2026, the Management Board of the Warsaw Stock Exchange adopted Resolution No. 1293/2026, pursuant to which it determined that, in connection with the merger of the Company [as the acquiring company] with the company operating under the name Shoper S.A., with its registered office in Kraków [as the acquired company], as of September 15, 2026, all shares of Shoper S.A., i.e., 28,134,560 ordinary bearer shares, registered in the securities depository maintained by KDPW under ISIN number PLSHPR000021, will be delisted from trading on the main market of the Warsaw Stock Exchange.

Specific legal basis: § 18(1)(2) of the Regulation of the Minister of Finance dated June 6, 2025, on current and periodic information disclosed by issuers of securities and the conditions for recognizing as equivalent information required by the laws of a non-member state.
