Extension of the terms of office of Supervisory Board Members for another term

Art. 56 sec. 1 item 2 of the Act on Public Offering – current and periodic information

The Management Board of R22 S.A. [“Company”], acting pursuant to § 5 item 4 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and the conditions for recognising as equivalent information required by the laws of a non-member state _[Journal of Laws of 2018, item 757]_ [“Regulation”], announces that on 26 June 2023, before expiry of the current term of office of the Supervisory Board, the Company’s Annual General Meeting extended the terms of office of all members of the Company’s Supervisory Board appointed by the General Meeting for another three-year period, namely Prof. Wojciech Cellary, Mr Jacek Duch _Chairman of the Company’s Supervisory Board_, Ms Katarzyna Zimnicka-Jankowska and Mr Kamil Pałyska. Shareholder Mr Jacek Duch, exercising his personal rights provided for in § 12 sec. 5 item 1 of the Articles of Association, extended the term of office of Ms Magdalena Dwernicka as a Member of the Company’s Supervisory Board for another three-year period.


The Supervisory Board for the next, third term of office consists of:


Jacek Duch – Chairman of the Supervisory Board


Wojciech Cellary – Independent Member


Magdalena Dwernicka


Katarzyna Zimnicka-Jankowska – Independent Member


Kamil Pałyska – Independent Member


The biographies of the Supervisory Board Members are attached to this current report. The Supervisory Board Members do not conduct any activities competitive with the Company’s business, are not partners in any competing civil-law partnership or partnership, shareholders in any competing company, or members of a governing body of any competing legal person. None of the appointed members is entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act. Three of the appointed Supervisory Board Members, namely Prof. Wojciech Cellary, Ms Katarzyna Zimnicka-Jankowska and Mr Kamil Pałyska, meet the independence criteria.
