Disclosure of delayed inside information – execution of a confidentiality agreement commencing negotiations concerning an investment by subsidiary Vercom S.A. in UserEngage sp. z o.o.
Legal basis:
The Management Board of R22 with its registered office in Poznań (the “Issuer”) hereby announces that on 13.09.2018 it decided to delay the disclosure of inside information pursuant to Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.

The reason for disclosing the delayed inside information is the completion of negotiations and the execution by subsidiary Vercom S.A. of an investment agreement with UserEngage sp. z o.o. and its sole shareholder.
The delayed inside information concerned the execution by subsidiary Vercom S.A. on 13.09.2018 of a confidentiality agreement commencing negotiations concerning an investment by Vercom S.A. in UserEngage sp. z o.o.
The confidentiality agreement was entered into in connection with the commencement of negotiations concerning an investment in UserEngage sp. z o.o. and the need for UserEngage sp. z o.o. to provide confidential information. The agreement provided for an obligation to maintain confidentiality with respect to information concerning both the company and the investment, and an obligation to compensate for any damage related to a breach of the confidentiality obligation.
