Execution by indirect subsidiary H88 HOSTING S.R.L. of a loan agreement with Fundusz Ekspansji Zagranicznej Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that on 02 October 2018 its indirect subsidiary H88 HOSTING S.R.L. with its registered office in Bucharest, a subsidiary of H88 S.A., and the Company entered into a loan agreement (the “Agreement”) with Fundusz Ekspansji Zagranicznej Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych with its registered office in Warsaw, managed by PFR Towarzystwo Funduszy Inwestycyjnych S.A. with its registered office in Warsaw (the “Fund”). Pursuant to the Agreement, the Fund granted H88 Hosting S.R.L. (the “Borrower”) a loan of EUR 2.100.000 (the “Loan”). The Loan is earmarked for H88 Hosting S.R.L.’s acquisitions in the Romanian market, in particular partial payment of the purchase price for shares in S.C. WEB CLASS IT S.R.L. with its registered office in Bucharest and NET DESIGN S.R.L., and partial refinancing of the purchase price for shares in GĂZDUIRE WEB S.R.L. The Company assured and guaranteed performance of all obligations of the Borrower under the Agreement if they are not performed by the Borrower. The Agreement does not provide for any other security. The Loan was granted for a period of 6 years, with a repayment date no later than 31 December 2024 and no earlier than 1 year after disbursement of its first tranche. Interest is payable semi-annually, i.e. on 30 June and 31 December of each year. The interest rate on the Loan will correspond to the formula: EURIBOR 6M + 11,0% per annum.
