Execution by indirect subsidiary H88 HOSTING S.R.L. of documents confirming that conditional agreements for the acquisition of shares in NET DESIGN S.R.L. and S.C. WEB CLASS IT S.R.L. have become legally effective

1/ On 26.09.2018, indirect subsidiary H88 HOSTING S.R.L. with its registered office in Bucharest, a subsidiary of H88 S.A., as purchaser, entered into with Claudiu Maciuceanu, as seller, a document confirming that the conditional agreement for the acquisition of 98 shares in S.C. WEB CLASS IT S.R.L. with its registered office in Bucharest, representing 98% of the share capital, for a price of EUR 1.340.000 (the “Agreement”), had become effective. Pursuant to the Agreement, transfer of ownership of the shares was conditional upon receipt by the seller of the full sale price, payment of which was set for 15 October 2018. The remaining 2 shares, representing 2% of the share capital of S.C. WEB CLASS IT S.R.L., are held by H88 HOSTING S.R.L. – 1 share, and H88 S.A. – 1 share. Following payment of the sale price, H88 HOSTING S.R.L. will hold a total of 99 shares (99% of the share capital) and H88 S.A. will hold 1 share (1% of the share capital), so H88 HOSTING S.R.L. and H88 S.A. will together hold 100 shares (100% of the share capital).
2/ On 28.09.2018, indirect subsidiary H88 HOSTING S.R.L. with its registered office in Bucharest, a subsidiary of H88 S.A., as purchaser, entered into with Doru Adrian Chiruta, as seller, a document confirming that the conditional agreement for the acquisition of 16 shares in NET DESIGN S.R.L. with its registered office in Bistrița, Romania, representing 53,33 % of the share capital, for a price of EUR 2.828.100 (the “Agreement”), had become effective. Pursuant to the Agreement, transfer of ownership of the shares was conditional upon receipt by the seller of the full sale price, payment of which was set for 15 October 2018. Two shares, representing 6,67% of the share capital of NET DESIGN S.R.L., are held by H88 HOSTING S.R.L. – 1 share, and H88 S.A. – 1 share. Following payment of the sale price, H88 HOSTING S.R.L. will hold a total of 17 shares (56,67% of the share capital) and H88 S.A. will hold 1 share (3,33% of the share capital), so H88 HOSTING S.R.L. and H88 S.A. will together hold 18 shares (60% of the share capital).
NET DESIGN S.R.L. (operating under the mxhost.ro brand) and S.C. WEB CLASS IT S.R.L. (operating under the xservers.ro brand) are leading Romanian providers of broadly defined hosting services, domain registration and maintenance, virtual VPS servers, physical servers and SSL certificates. The acquisition of both companies is consistent with the adopted strategy of the H88 S.A. group, represents a natural step in the group’s development process and a continuation of international expansion in the hosting area. Following completion, the companies belonging to H88 HOSTING S.R.L. will together hold the leading position in the hosting and domain industry in Romania, with a market share exceeding 15 percent, serving nearly 30.000 customers and more than 50.000 domains.
