Management Board proposals on the distribution of profit for the financial year 01.07.2018 – 30.06.2019 and payment of a dividend to the Company’s shareholders

Content:

The Management Board of R22 spółka akcyjna (the “Company”) hereby announces that on 9 September 2019 it adopted Resolution No. 9/2019 on submitting to the Company’s Supervisory Board and Annual General Meeting proposals and recommendations concerning:

1/ the distribution of net profit for the financial year covering the period from 01.07.2018 to 30.06.2019,

2/ the payment of part of the net profit for the financial year covering the period from 01.07.2018 to 30.06.2019 as a dividend to the Company’s shareholders.

In these proposals, the Management Board of the Company proposes that the net profit for the financial year covering the period from 01.07.2018 to 30.06.2019, amounting to PLN 4 901 000,00 (four million nine hundred one thousand zlotys), be distributed as follows:

a) PLN 4 230 000,00 to be allocated to the payment of a dividend to the Company’s shareholders, which means that the dividend per share will amount to 30 groszy,

b) PLN 671 000,00 to be allocated to the Company’s supplementary capital.

In the resolution, the Management Board recommended setting the dividend record date as 15 October 2019 and the dividend payment date as 22 October 2019.

The Company’s Supervisory Board will assess the proposals submitted by the Company’s Management Board and issue an opinion on the relevant draft resolution to be presented to the Annual General Meeting of the Company.

The final decision concerning the distribution of net profit for the financial year covering the period from 01.07.2018 to 30.06.2019 and the payment of a dividend to shareholders, including determination of the dividend record date and dividend payment date, will be made by the Annual General Meeting.
