Appointment of Members of the Supervisory Board of R22 S.A. for another (second) term of office

The Management Board of R22 S.A. (the “Company”, the “Issuer”) hereby announces that on 17 August 2020, in connection with the expiry of the first term of office of the Company’s Supervisory Board, all Members of the Supervisory Board resigned from membership of the Supervisory Board of R22 S.A. effective as of 17 August 2020; these were Mr Jacek Duch, Prof. Wojciech Cellary, Ms Magdalena Dwernicka, Ms Katarzyna Nagórko and Mr Włodzimierz Olbrycht. On 18 August 2020, the Extraordinary General Meeting appointed four members of the Company’s Supervisory Board for another (second) three-year term of office: Prof. Wojciech Cellary, Mr Jacek Duch, who was entrusted with the function of Chairman of the Company’s Supervisory Board, Ms Milena Olszewska-Miszuris and Ms Katarzyna Nagórko. The shareholder Mr Jacek Duch, exercising the personal rights provided for in § 12(5)(1) of the Articles of Association, appointed Ms Magdalena Dwernicka as a Member of the Company’s Supervisory Board. The new term of office of the Supervisory Board members will continue until 18 August 2023, and the mandates of the Supervisory Board members will expire on the date of approval of the Issuer’s financial statements for 2023.
The Supervisory Board for the next (second) term of office consists of:
Wojciech Cellary – Independent Member
Jacek Duch – Chairman of the Supervisory Board
Magdalena Dwernicka
Milena Olszewska-Miszuris – Independent Member
Katarzyna Nagórko – Independent Member

At the same time, the Company announces that all appointed members gave their written consent to stand as candidates and to be appointed to the Company’s Supervisory Board by submitting the relevant statements.
According to the statements previously submitted by each of the elected Members of the Supervisory Board, these persons do not conduct any activity competitive with the Issuer’s business, are not partners in a competing civil-law partnership, partnership or capital company, and are not members of a governing body of any competing legal person.
None of the newly elected members is entered in the Register of Insolvent Debtors maintained pursuant to the Act on the National Court Register.
Three appointed members of the Supervisory Board, i.e. Prof. Wojciech Cellary, Ms Milena Olszewska-Miszuris and Ms Katarzyna Nagórko, meet the independence criteria and submitted appropriate statements in this respect.
