Merger of cyber_Folks S.A. with its wholly-owned subsidiaries zenbox sp. z o.o. and otree sp. z o.o.

The Management Board of cyber_Folks S.A. with its registered office in Poznań [“Company”] announces that, through the Court Registers Portal system, it learned of the registration on 01 July 2024 [“Merger Date”] of the merger of the Company with its two wholly-owned subsidiaries, i.e. zenbox sp. z o.o. and otree sp. z o.o. [“Acquired Companies”]. Accordingly, on the Merger Date: [i] all assets of the Acquired Companies were transferred to the Company, [ii] the Company assumed all rights and obligations of the Acquired Companies, and [iii] the Acquired Companies were dissolved without liquidation. Given that the Company was the sole shareholder of the Acquired Companies, the merger was effected without an increase in the Company’s share capital and without an amendment to the Company’s Articles of Association.
