The Management Board of cyber_Folks S.A. with its registered office in Poznań [“Company”] announces that on 26 May 2026 an amendment to the credit agreement [“Agreement”] was concluded between the Company, Oxylion sp. z o.o., Vercom S.A., Shoper S.A. [“Borrowers”], and mBank S.A. and Bank Polska Kasa Opieki S.A. [“Lenders”], pursuant to which:

1] the Company was provided with:

a] an additional acquisition loan of up to EUR 18.000.000,00 by mBank S.A. and Bank Polska Kasa Opieki S.A., with a final repayment date of 25.03.2030;

b] an additional overdraft facility limit of PLN 10.000.000,00 by mBank S.A. [resulting in an increase of the total overdraft commitment to PLN 15.000.000,00];

c] an additional overdraft facility limit of PLN 10.000.000,00 by Bank Polska Kasa Opieki S.A. [resulting in an increase of the total overdraft commitment to PLN 15.000.000,00];

2] Shoper S.A. acceded to the original credit agreement as a joint and several debtor and was provided with an acquisition loan of up to PLN 85.000.000,00 by mBank S.A. and Bank Polska Kasa Opieki S.A., including, among other things, to refinance its acquisition of shares in Sempire sp. z o.o., with a final repayment date of 25.03.2030.

In addition, the repayment dates of the loans and the availability periods for the overdraft facilities with respect to the Company and Vercom were extended until 25 March 2028.

The amendment to the Agreement provides for a standard update of the security package customary for changes of this type.
