The Management Board of R22 S.A. _currently, following the change of company name, cyber_Folks S.A._ with its registered office in Poznań [“Company”] announces that, through the Court Registers Portal system, it learned of the registration on 31 July 2023 _[Merger Date]_ of the merger of the Company with its wholly-owned subsidiary cyber_Folks S.A. with its registered office in Poznań, KRS No. 0000612359 _[Acquired Company]_.

Accordingly, on the Merger Date all assets of the Acquired Company were transferred to the Company, the Company assumed all rights and obligations of the Acquired Company, and the Acquired Company was dissolved without liquidation. Given that the Company was the sole shareholder of the Acquired Company, the merger was effected without an increase in the share capital or an amendment to the Company’s Articles of Association.
