Pursuant to § 70(3) of the Act of 29 July 2005 on Public Offering, Conditions Governing the Introduction of Financial Instruments to Organised Trading, and Public Companies (consolidated text dated 7 February 2018, Journal of Laws of 2018, item 512)

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that on 13 June 2019 its indirect subsidiary H88 HOSTING S.R.L. with its registered office in Bucharest, a subsidiary of H88 S.A., entered into a loan agreement (the “Agreement”) with mBank S.A. with its registered office in Warsaw (the “Bank”). Pursuant to the Agreement, the Bank granted H88 Hosting S.R.L. (the “Borrower”) financing of up to EUR 7.000.000, with the final repayment date falling on 30 September 2024 (the “Loan”).

The purpose of the Loan is to refinance expenses already incurred on acquisitions in the Romanian market and to finance future acquisitions.

Pursuant to the Agreement, subsidiary H88 S.A. is a joint and several debtor and the Company is a guarantor. The Agreement provides for the following security: a pledge over shares in H88 Hosting S.R.L. and submission by H88 Hosting S.R.L. to enforcement; submission by H88 S.A. to enforcement as joint and several debtor; execution of a guarantee agreement by the Company and its submission to enforcement in connection therewith.

In addition, Fundusz Ekspansji Zagranicznej Fundusz Inwestycyjny Zamknięty Aktywów Niepublicznych with its registered office in Warsaw subordinated repayment of the loan agreement entered into with H88 Hosting S.R.L. on 2 October 2018 to repayment of the Loan.
