Execution of a share purchase agreement by a Subsidiary

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that on 22.05.2018 its subsidiary H88 S.A. with its registered office in Poznań (“H88”), as purchaser, entered into share sale agreements (the “Agreement”) concerning Kei.pl sp. z o.o. (formerly Kei.pl Dziedzic Pasek Przybyła spółka jawna) with Małgorzata Przybyła, Marcin Pasek and Rafał Dziedzic, as sellers. The subject of the Agreement is the acquisition by H88 of all shares, i.e. 240 shares, in Kei.pl sp. z o.o. (“Kei.pl”), carrying 100% of the votes at the shareholders’ meeting of Kei.pl, from all shareholders of Kei.pl, i.e. Małgorzata Przybyła, Marcin Pasek and Rafał Dziedzic.
The sale price for all shares (240 shares) in Kei.pl was set at PLN 21.999.999,99, i.e. PLN 7.333.333,33 for each seller. Transfer of ownership of the shares is conditional upon payment of the full price, for which a 14-day payment period was agreed. However, H88 plans to pay for the acquired shares by 25.05.2018.
Kei.pl provides broadly defined hosting services, domain registration and maintenance, virtual VPS servers and physical servers under the kei.pl brand. As at 31 March 2018, it served more than 10,5 thousand hosting subscriptions and 18,3 thousand sold domains. The acquisition of Kei.pl is consistent with the adopted strategy of H88’s operations and development through consolidation of the hosting market in Poland.
