Execution of an investment agreement with Appchance Sp. z o.o. sp. k.

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that on 24.08.2018 its subsidiary Vercom S.A. with its registered office in Poznań (“Vercom”), as investor, entered into an investment agreement (the “Agreement”) with Miłosz Wójcik, Przemysław Hanicki, Piotr Gabryszak, Grzegorz Skibiński and Appchance spółka z ograniczoną odpowiedzialnością, partners of Appchance spółka z ograniczoną odpowiedzialnością spółka komandytowa, and the partnership itself.
The Agreement provides for the transformation of Appchance spółka z ograniczoną odpowiedzialnością spółka komandytowa into a limited liability company, followed by Vercom acquiring in 2018 an aggregate 23% of the share capital of the transformed company through the acquisition of shares from the shareholders of the transformed company and subscription for shares as a result of an increase in the share capital of the transformed company, for a total amount of PLN 1.150.000. In 2019, Vercom S.A.’s interest will increase to 39% of the share capital of the transformed company through subscription for shares in a further increase of the transformed company’s share capital. Furthermore, the Agreement also provides for an option for Vercom to purchase shares from shareholders of the transformed company in 2020, as a result of which Vercom’s interest may be increased to 64% of the share capital.
