Disclosure of delayed inside information – commencement by an indirect subsidiary of H88 S.A. of negotiations concerning the acquisition of shares in GĂZDUIRE WEB SRL

The Management Board of R22 with its registered office in Poznań (the “Issuer”) hereby announces that on 14.03.2018 it decided to delay the disclosure of inside information pursuant to Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
The reason for disclosing the delayed inside information is the completion of negotiations and execution by a subsidiary of H88 S.A., namely H88 HOSTING S.R.L. (both companies are indirect subsidiaries of the Issuer), of an investment agreement for the acquisition of shares in GĂZDUIRE WEB SRL with its registered office in Bucharest.
The delayed inside information concerned the submission on 14.03.2018 by an indirect subsidiary of H88 S.A. of a letter of intent commencing negotiations concerning the acquisition of 100% of the shares in GĂZDUIRE WEB SRL with its registered office in Bucharest. The letter of intent contemplated the acquisition of 100% of the shares in GĂZDUIRE WEB SRL for a price of EUR 1.100.000.
