Execution by indirect subsidiary H88 HOSTING S.R.L. of an agreement to acquire shares in GĂZDUIRE WEB SRL and determination of transaction terms with two other companies

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that on 27.08.2018 its indirect subsidiary H88 HOSTING S.R.L. with its registered office in Bucharest, a subsidiary of H88 S.A., as purchaser, entered into a share sale agreement (the “Agreement”) with BROADHURST INVESTMENTS LIMITED with its registered office in Nicosia and ROMARTA S.A. with its registered office in Bucharest, as sellers, concerning shares in GĂZDUIRE WEB SRL with its registered office in Bucharest. The subject of the Agreement is the acquisition by H88 HOSTING S.R.L. of 2021 shares in GĂZDUIRE WEB SRL representing 99,90% of the share capital. H88 S.A. and H88 HOSTING S.R.L. each hold 1 share in GĂZDUIRE WEB SRL, each representing 0,05% of the share capital, subscribed for prior to execution of the Agreement.
The sale price for 2021 shares (99,90%) in GĂZDUIRE WEB SRL was set at EUR 1.100.000. Transfer of ownership of the shares is conditional upon receipt by the sellers of the full sale price. H88 HOSTING S.R.L. paid the full sale price on the date of execution of the Agreement, i.e. today (27.08.2018).
GĂZDUIRE WEB SRL is one of Romania’s leading providers of broadly defined hosting services, domain registration and maintenance, virtual VPS servers, physical servers and SSL certificates. It provides its services under the gazduire.ro brand. The acquisition of GĂZDUIRE WEB SRL is consistent with the adopted strategy of the H88 S.A. group, represents a natural step in the group’s development process and marks the start of international expansion in the hosting area.
Furthermore, H88 HOSTING S.R.L. with its registered office in Bucharest determined the transaction terms for the acquisition of two further Romanian companies providing broadly defined hosting services, domain registration and maintenance, virtual VPS servers, physical servers and SSL certificates. Following execution of the agreements to acquire shares in these entities, the companies belonging to H88 HOSTING S.R.L. will together hold the leading position in the hosting and domain industry in Romania, with a market share exceeding 15 percent, serving nearly 30.000 customers and more than 50.000 domains.
