Disclosure of delayed inside information – execution by indirect subsidiary H88 HOSTING S.R.L. of a conditional agreement to acquire shares in S.C. WEB CLASS IT S.R.L.

The Management Board of R22 S.A. with its registered office in Poznań (the “Issuer”) hereby announces that on 27.04.2018 it decided to delay the disclosure of inside information pursuant to Article 17(4) of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse and repealing Directive 2003/6/EC of the European Parliament and of the Council and Commission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC.
The reason for disclosing the delayed inside information is the completion of negotiations, execution by a subsidiary of H88 S.A., namely H88 HOSTING S.R.L. (both companies are indirect subsidiaries of the Issuer), of a conditional agreement to acquire shares in S.C. WEB CLASS IT S.R.L. with its registered office in Bucharest, Romania, and execution of a document confirming that the agreement had become legally effective.
The delayed inside information concerned the execution on 27.04.2018 by indirect subsidiary H88 S.A. of a term sheet commencing negotiations concerning the acquisition of 100% of the shares in S.C. WEB CLASS IT S.R.L. with its registered office in Bucharest, Romania. The term sheet contemplated the acquisition of 100% of the shares in S.C. WEB CLASS IT S.R.L. for a price of EUR 1.340.000.
