Decision to take Vercom public

The Management Board of R22 S.A. with its registered office in Poznań (the “Company”) hereby announces that today the Company’s subsidiary Vercom S.A. with its registered office in Poznań (“Vercom”) adopted resolutions concerning, among other matters, applying for the admission and introduction of shares of Vercom S.A. with its registered office in Poznań to trading on the regulated market operated by the Warsaw Stock Exchange (the “WSE”) (the “IPO”).
Vercom is one of Poland’s leading providers of technology enabling the integration and automation of various electronic communication channels. The solutions offered by Vercom include specialised tools enabling their users to communicate with their own customers effectively and cost-efficiently.
Within the Company’s group, Vercom is responsible for the CPaaS (Communication Platform as a Service) segment, which generated PLN 96,0 million in revenue and PLN 23,1 million in EBITDA over the last 12 months. The Company holds 70,51% of Vercom’s share capital.
The Management Board of the Company considers the current stage of Vercom’s development to be a good time for its IPO. As a public company itself, the Company sees many benefits from Vercom being listed on the WSE, including easier access to financing for development plans, broadening the investor base, and the potential to unlock Vercom’s value. The Management Board of the Company and the Management Board of Vercom believe that this step will create new development opportunities for Vercom and will be beneficial from the perspective of the shareholders, the Company and Vercom. A WSE debut means that the Company’s capital group will become even more transparent and Vercom will become much more recognisable among both investors and its counterparties. At the same time, the Management Board of the Company emphasises that it does not plan to change the structure of the Company’s capital group. The IPO is planned for the first half of 2021, while the final decision will be made taking into account market conditions at that time. Details of the contemplated transaction will be presented in a prospectus, which will be published after approval by the Polish Financial Supervision Authority.
