Appointment of Management Board Members for another term of office

Art. 56 sec. 1 item 2 of the Act on Public Offering – current and periodic information

The Management Board of cyber_Folks S.A. [“Company”], acting pursuant to § 5 item 5 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information published by issuers of securities and the conditions for recognising as equivalent information required by the laws of a non-member state _[Journal of Laws of 2018, item 757]_ [“Regulation”], announces that on 31 August 2023, in connection with expiry of the current term of office of the Company’s Management Board, the Company’s Supervisory Board appointed to the Company’s Management Board for a joint three-year term of office: – with effect from 31 August 2023, Mr Jakub Dwernicki as President of the Management Board and Mr Robert Stasik as Vice-President of the Management Board; – with effect from 06 September 2023, Ms Katarzyna Juszkiewicz, Mr Artur Pajkert and Mr Konrad Kowalski. The new joint three-year term of office of the Management Board commenced on 31 August 2023 and will end on 31 August 2026.

The Management Board Members do not conduct any activities competitive with the Company’s business, are not partners in any competing civil-law partnership or partnership, shareholders in any competing company, or members of a governing body of any competing legal person. None of the appointed Management Board Members is entered in the Register of Insolvent Debtors maintained pursuant to the National Court Register Act. The Company provides the biographies of the Management Board Members below:


1_ Jakub Dwernicki – President of the Management Board

Jakub Dwernicki has secondary education. Jakub Dwernicki is the founder and principal executive of cyber_Folks S.A. In 2004 – 2012 he served as President of Inotel S.A., a telecommunications company. Jakub Dwernicki is also the principal author of the strategy for acquisitions of hosting businesses within cyber_Folks S.A. carried out since 2015 and of the transformation towards providing tools supporting online presence, communication and business automation. Jakub Dwernicki gained professional experience by serving on governing bodies and as founder of companies that were merged with companies currently belonging to the cyber_Folks S.A. Group.


2_ Robert Stasik – Vice-President of the Management Board

Robert Stasik has higher education. In 2010 he graduated from the Poznań University of Economics, majoring in Management and Marketing with a specialisation in Corporate Finance and Accounting, obtaining a master’s degree. In addition, in 2011 he completed postgraduate studies in Database Systems at the WSB University in Poznań. In 2014, Robert Stasik obtained the Associate Chartered Management Accountant and Chartered Global Management Accountant designations awarded by the Chartered Institute of Management Accountants. He has been associated with the R22 Group since 2010, serving on the governing bodies of companies belonging to the cyber_Folks S.A. Group and as Chief Financial Officer since 2014. Previously, he worked in the finance departments of Good Food Products and Samsung Electronics.


3_ Katarzyna Juszkiewicz – Member of the Management Board

Katarzyna Juszkiewicz obtained an Engineer degree in Computer Science from Poznań University of Technology in 2001 and a Master’s degree in Management from the Faculty of Computing of Poznań University of Technology in 2004. Since 2001 she has worked in the IT and telecommunications sector as Customer Service Director and Chief Operating Officer. Since 2020 she served as President of OXYLION S.A. and as a Member of the Supervisory Board of Vercom S.A. Since 2022 she was Vice-President of cyber_Folks S.A. _before its merger with the Company_. She gained experience in network project management, software development and operational auditing. Ms Katarzyna Juszkiewicz is Chief Operating Officer at cyber_Folks S.A. and a commercial proxy at OXYLION S.A.


4_ Artur Pajkert – Member of the Management Board

Graduate of the Faculty of Computer Science and Management at Wrocław University of Science and Technology _2003_, PhD in Economics _2009_. He has been actively associated with the IT industry since 2001 as a director, commercial proxy and management board member at companies providing hosting services. Since June 2008 he was Marketing Director at Ogicom and was responsible for communications and marketing in connection with all acquisitions in the hosting area _including Netia, Linuxpl, Hekko, SuperHost_. Since 2022 he has served as a management board member of cyber_Folks S.A. _before its merger with the Company_. He played a significant role in creating the cyber_Folks brand in Poland and was responsible for implementing the brand in Romania. Author of software supporting marketing, including the first semantic website audit in Poland. Academic lecturer and speaker at industry conferences, including Internet BETA, Infoshare, I Love Marketing, Digital Fest, TEH and E-Trade Show. Author and co-author of industry publications in leading trade periodicals and portals.


5_ Konrad Kowalski – Member of the Management Board

Konrad Kowalski graduated from Łódź University of Technology in 2004 from the Faculty of Technical Physics, Information Technology and Applied Mathematics, and completed an Executive MBA at the Poznań University of Economics and Business in 2017. He began his professional career in 2004 at Japan Tobacco International as a financial analysis specialist and subsequently as Head of Controlling. From 2012 he worked at Samsung Electronics Poland Manufacturing, also as Head of Controlling. He has been associated with the cyber_Folks Group since 2017 as CFO of the cyber_Folks operating segment and is primarily responsible for preparing pricing strategy and for preparing and monitoring implementation of the segment’s financial plans.
