Disposal of Profitroom S.A. shares

The Management Board of cyber_Folks S.A. with its registered office in Poznań [“Issuer”], with reference to the Issuer’s Current Report No. 3/2024 of 15 April 2024, announces that on 05 July 2024, in performance of the conditional preliminary agreement for the sale of shares in the share capital of Profitroom S.A. with its registered office in Poznań [“Company”], concluded on 15 April 2024 [“Preliminary Agreement”], the Issuer sold to MCI DC Alternatywna Spółka Inwestycyjna spółka z ograniczoną odpowiedzialnością w organizacji, in which MCI.PrivateVentures Fundusz Inwestycyjny Zamknięty _acting on behalf of the MCI.EuroVentures 1.0. sub-fund_ [“Fund”] holds approximately 85% of the shares, and to the Fund, a total of 5.044.683 shares in the Company’s share capital, representing approximately 33,34% of the Company’s share capital. The total sale price of the Company shares amounted to PLN 97.531.429,75. Completion of the transaction covered by the Preliminary Agreement was conditional upon completion of the antitrust procedure and the Buyer obtaining an insurance policy covering the civil liability of the sellers, in particular in connection with any inaccuracy of representations made in the Preliminary Agreement. The indicated conditions have been satisfied.
