Determination of the material terms of a settlement between Vercom S.A. (subsidiary) and Polkomtel sp. z o.o.

The Management Board of cyber_Folks S.A., with reference to information published in periodic reports by Vercom S.A. [subsidiary] concerning court proceedings brought by Vercom S.A. [“Vercom”] against Polkomtel sp. z o.o. [“Polkomtel”] for payment by Polkomtel to Vercom of PLN 4,806,945 together with statutory interest for delay for the period from 4 May 2020 until the date of payment, hereby announces that on 21 March 2025 Vercom and Polkomtel determined the material terms of a settlement aimed at amicably concluding the dispute covered by the above court proceedings [“Settlement”].
Vercom and Polkomtel agreed in particular that under the Settlement: [i] Vercom will waive in full its claims against Polkomtel covered by the above court proceedings, subject to the parties entering into an annex to the previously concluded cooperation agreement [referred to below]; and [ii] the parties will undertake to enter into an annex to the cooperation agreement for a period of 24 months, under which part of the amount of the claim covered by the above court proceedings, i.e. PLN 4,080,000.00, will be settled by the parties through Polkomtel providing Vercom with services similar to those provided under the agreement from which Vercom’s claim covered by the above court proceedings arose [taking into account the waiver of claims referred to in item [i] above].
The determination of the above terms reflects the parties’ intention to enter into the Settlement on the agreed terms. The Settlement should be concluded on 24 March 2025, after which Vercom and Polkomtel will submit applications to the competent court for, among other things, approval of the Settlement and discontinuance of the above court proceedings in their entirety.
